License Agreement

Non-chargeable software

IMPORTANT - Read this document carefully! This Software License Agreement is a legal agreement  between you (either an individual or a single entity)  and Trio Motion Technology. By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, you must not install or use the Software.

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

GRANT OF LICENSE - The Software is licensed as follows:

• You may install the Software on as many machines as you wish as long as it is used in conjunction with or for the support of a Motion Coordinator manufactured by or supplied by Trio Motion Technology.
• Backup Copies. You may also make copies of the Software as may be necessary for backup and archival purposes. 

OTHER RIGHTS AND LIMITATIONS.

• You must not remove or alter any copyright notices on any copy of the Software except with the express permission, in writing, of Trio Motion Technology.
• You may not distribute copies of the Software to third parties.
• You may not reverse engineer, decompile, or disassemble the Software. 
• You may not rent, lease, or lend the Software except with the express permission, in writing, of Trio Motion Technology.
• You may permanently transfer all of your rights under this agreement, provided the recipient agrees to the terms of this agreement.

TERMINATION

Without prejudice to any other rights, Trio Motion Technology may terminate this agreement if you fail to comply with the terms and conditions of this agreement. In such event, you must destroy all copies of the Software or return them to Trio Motion Technology.

COPYRIGHT

All title, including but not limited to copyrights, in and to the Software and any copies thereof are owned by Trio Motion Technology or its agents. All rights not expressly granted are reserved by Trio Motion Technology.

WARRANTY

Trio Motion Technology expressly disclaims any warranty for the Software. The Software and any associated documentation is provided "as is" without warranty of any kind. The entire risk arising out of use or performance of the software product remains with you.

LIMITATION OF LIABILITY

Trio Motion Technology’s liability is limited to replacement of the media on which the software is supplied if this media fails due to manufacturing defects during the first 12 months. To the maximum extent permitted by applicable law, in no event shall Trio Motion Technology or its agents be liable for any damages whatsoever arising out of the use of or inability to use the Software.

EXTRA CONDITIONS FOR BETA RELEASE SOFTWARE

Terms of Release

These Terms of Release apply in addition to the normal Trio Motion Technology license agreement for non-chargeable software.

• This software has been released by Trio Motion Technology to their customer on the understanding that it is not the final product release of the software. Trio Motion Technology will accept no responsibility for losses incurred as a consequence of using this software.
• The customer must undertake to report to Trio Motion Technology any problems found with the software and also any enhancements they would find useful in their application of the software.  Mail to
• Trio will not modify the software during the trial period (normally 2 to 3 months from release) unless serious bugs have been reported. All minor bug fixes and enhancements will be incorporated in the next release of the software (either a further beta release or a full product release).

Reporting Problems

All problems with the software should be reported to Trio by fax using the number below or by email to . Any requests for enhancements or changes in further releases of the software should be communicated in the same way.
